WHEREAS Donald Victor Bennett, John Garnet Bennett, Eugene Francis Cameron, C. Jack Oliver, Wemyss Reid, Richard Lawrence Richards, Richard Edward Robins, Edgar Marshall Sheppard, Kenneth Oswald Smith, Frederick Keith Clarke, Charles Ellington, Hubert Munday, and Brian Porter Sutherland have represented that they desire to establish a College of Theology dealing particularly with the evangelical Christian faith and contemporary life and thought:
AND WHEREAS it is expedient that the said institution should be incorporated:
THEREFORE, HER MAJESTY, by and with the advice and consent of the Legislative Assembly of the Province of British Columbia, enacts as follows:—
2 Donald Victor Bennett, of the Municipality of Burnaby; John Garnet Bennett, of the City of Vancouver; Eugene Francis Cameron, of the City of Vancouver; C. Jack Oliver, of the City of Vancouver; Wemyss Reid, of the City of Vancouver; Richard Lawrence Richards, of the City of Vancouver; Richard Edward Robins, of the City of Vancouver; Edgar Marshall Sheppard, of the Municipality of West Vancouver; Kenneth Oswald Smith, of the City of Vancouver; Frederick Keith Clarke, of the City of Victoria; Charles Ellington, of the City of Victoria; Hubert Munday, of the City of Victoria; and Brian Porter Sutherland, of the City of Victoria, all in the Province of British Columbia, and such persons as may from time to time be members of the Board of Governors under the provisions hereinafter contained are constituted a body politic and corporate by and under the name of "Regent College" (hereinafter called the "College"), having the object of establishing a College of Theology.

3 The College may affiliate with a university pursuant to the provisions of the University Act.

4 The College shall, by the name of "Regent College," have perpetual succession and a common seal and by such name may, from time to time and at all times hereafter, acquire by purchase, lease, gift, devise, bequest, or otherwise, and may hold, possess, and enjoy real and personal property of every nature and kind situate either within or without the Province and especially such lands, tenements, and hereditaments within the Province as may be necessary for use and occupation as College buildings and offices, playing-fields, residences for professors, tutors, students, and officers, with gardens or pleasure grounds pertaining thereto, together with all libraries, furniture, and fixtures used in connection therewith, and the College shall have, for the purposes and benefit of the College to be established and maintained hereunder, power to sell, lease, alienate, and dispose of any such property for such consideration as may be agreed on.

5 The College shall have in its own right and name the power to grant degrees, diplomas, and certificates in theology, including those of an honorary nature.

6 The College shall have power, for the purposes of the corporation, to execute deeds, agreements, bills of sale, mortgages, bills of exchange, promissory notes, and other like documents.

7 The College shall have full power and authority to borrow such sum or sums of money from time to time as may be necessary for its purposes either with or without security and shall have power and authority to mortgage or pledge any or all of its lands, tenements, or hereditaments or any other of its property for securing any sum or sums of money so borrowed, or for securing any part of the purchase money of any such lands, tenements, hereditaments and may issue and sell or pledge bonds, debentures, and obligations upon such terms and conditions as the College may decide.

8 The College shall have full power and authority
(a) to invest all or any sum or sums of money of or belonging to the College, or given or bequeathed to it, in any bonds or securities of Canada, or of any Province thereof, or of the United Kingdom and Northern Ireland, or in any debentures of any of the municipalities of the said Provinces, or in any securities in which life insurance companies are authorized from time to time by the Parliament of Canada to invest and also to lend and invest any such moneys upon the security of any real or personal property and also to make any other investments which may, by laws of the Province, be authorized for the investment of trust funds; and the College may, under its corporate name or in the name of any person or persons as trustee or trustees, take and hold any real or personal property or any interest therein by way of mortgage to secure any such investment;
(b) to pass on and entrust to a trust company all or any sum or sums of money belonging to the College to be held, controlled, administered, and dealt with by such trust company, subject to the provisions of clause (a), for such time and in such manner as the Board of Governors may from time to time direct;
(c) nothing in this section shall preclude the College from holding any type of bond, debenture, stock, share, or other investment donated to it or from carrying out the terms of a deed of trust.

9 The rule against perpetuities and other rules restricting the holding of real property do not apply to property of the College.

9.1 (1) In this section, "college property" means property that is
(a) owned by the College or leased by it from the Crown, a municipality or a regional district, and
(b) occupied by the College and used by it for educational purposes.
(2) The College is exempt from taxation under the following Acts in respect of college property:
(b) British Columbia Transit Act;
(c) Community Charter;
(e) Library Act;
(f) Local Government Act;
(g) Municipal Finance Authority Act;
(h) Police Act;
(i) School Act;
(j) South Coast British Columbia Transportation Authority Act;
(k) Taxation (Rural Area) Act;
(l) University Endowment Land Act;
(m) Vancouver Charter.

10 The Board of Governors of the College shall consist of the president and not less than five and not more than thirty members whose election, removal, and term of office shall be determined in such manner and for such time as the by-laws provide. Such by-laws shall provide that the terms of office of elected members of the Board shall not exceed 9 consecutive years and that commencing at the first election held after the College grants its first degrees, at least two members of the Board shall be elected by persons who have received degrees from the College. The following shall constitute the first Board of Governors: Donald Victor Bennett, John Garnet Bennett, Eugene Francis Cameron, C. Jack Oliver, Wemyss Reid, Richard Lawrence Richards, Richard Edward Robins, Edgar Marshall Sheppard, Kenneth Oswald Smith, Frederick Keith Clarke, Charles Ellington, Hubert Munday, and Brian Porter Sutherland, and the above-named persons shall continue to hold office until their successors are elected as herein provided, such elections to be held not later than two years from the date when this Act comes into force.

11 The management, administration, and control of the property, revenue, business, and affairs of the College shall be vested in the Board of Governors. Without thereby limiting the general powers conferred upon or vested in the Board by this Act, the Board shall have power
(a) to enact and to repeal and amend by-laws, rules, and regulations providing for the governing and operation of the College and the election, removal, and term of office of members of the Board of Governors and of the Senate;
(b) to select a seal and arms for the College and have sole custody and use of the seal;
(c) to appoint the president, the professors, tutors, masters, and other staff and all other officers, agents, and servants of the College on such terms and conditions as the Board may see fit and to terminate such employment at such time or times as the Board may see fit;
(d) to grant degrees, diplomas, and certificates in theology, including those of an honorary nature.

12 The by-laws, rules, and regulations providing for the governing and operation of the College and the election, removal, and term of office of members of the Board of Governors and Senate shall be entered in a minute book kept for the said purpose and signed by the Secretary of the Board of Governors in office from time to time at that time during which the same are adopted and passed, and such book shall be deposited among the records of the Board of Governors.

13 A copy of the said rules, by-laws, or regulations certified under the hand of the Secretary of the Board of Governors for the time being shall be admitted and received as evidence of the said rules, by-laws, or regulations and of the contents thereof in any Court of this Province and for all purposes, without proof of the signature of the said Secretary.

14 The president shall generally supervise and direct the academic work of the College, teaching and administrative staffs, and the officers and servants. He shall have such other powers and perform such other duties as from time to time may be assigned to him by the Board.

15 The Senate of the College shall be composed of
(b) such members of the Faculty as may be appointed by the Board of Governors;
(c) such persons (including members of the Board of Governors) as may be appointed to the Senate by the Board of Governors;
(d) such other persons as may be elected to the Senate pursuant to the by-laws, such by-laws to provide for student representation on the Senate.

16 The Senate shall have power to do those things required of it in the by-laws, rules, and regulations providing for the governing and operation of the College. Without thereby limiting the powers conferred upon it by the by-laws, rules, and regulations, the Senate shall have power
(a) to provide for the government, management, and carrying-out of curriculum, instruction, and education offered by the College;
(b) to determine all questions relating to the academic and other qualifications required of applicants for admission as students to the College;
(c) to recommend to the Board of Governors the granting by the College of degrees, diplomas, and certificates in theology, including honorary degrees;
(d) to exercise disciplinary jurisdiction with respect to students in attendance at the College;
(e) to make such recommendations to the Board as may be deemed proper in promoting the interests of the College or for carrying out the objects and provisions of this Act.

17 The seal of the College shall be attached to any document requiring the seal in the presence of such officers of the Board of Governors as shall by resolution be determined by the Board of Governors.
